1. Agreement and Parties
This Terms and Conditions agreement ("Agreement") is entered into by and between Elitestack Technologies LLC ("Elitestack", "Zapelite", "we", "us", or "our"), a company incorporated under the laws of the United Arab Emirates with its principal office in Dubai, and any person or entity ("you", "your", "Customer", or "User") accessing or using the Zapelite platform.
Zapelite is a proprietary B2B communication and workflow automation platform for WhatsApp Business API, owned and operated by Elitestack Technologies LLC. The platform is accessible at zapelite.com (and any associated domains or subdomains).
By accessing, registering for, subscribing to, or otherwise using the Zapelite platform and related services (collectively, the "Services"), you agree to be bound by this Agreement, including our Privacy Policy and Data Deletion Policy, which are incorporated by reference. If you do not agree to these terms, you must not use the Services.
If you are entering into this Agreement on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these terms. In such case, "you" and "your" shall refer to that entity.
2. Account Terms
2.1 Registration
To access and use the Services, you must register for an account ("Account") by providing your full legal name (or legal entity name), current business address, phone number, a valid email address, and any other information indicated as required during the registration process. Zapelite reserves the right to reject any application for an Account, or suspend or terminate an existing Account, at our sole discretion.
2.2 Eligibility
You must be at least 18 years of age, or the age of majority in your jurisdiction (whichever is greater), to create an Account. You confirm that you are using the Services for business purposes only and not for any personal, household, or family use.
2.3 Account Security
You are responsible for maintaining the confidentiality and security of your Account credentials, including your password. You agree to notify us immediately at support@zapelite.com if you become aware of any unauthorized use of your Account. Zapelite shall not be liable for any loss or damage arising from your failure to maintain Account security.
3. Description of Services
Zapelite provides a B2B communication and workflow automation platform that connects WhatsApp Business API, CRM systems, and internal business tools. The Services include, but are not limited to:

Any new features or tools added to the Services shall also be subject to this Agreement. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice where practicable. Not all features are available in every jurisdiction.
4. Fees and Payment
4.1 Fee Structure
You agree to pay all applicable fees associated with your use of the Services, which may include:

4.2 Payment Terms
All fees are quoted and payable in AED (UAE Dirhams) unless otherwise specified. Visa and MasterCard debit and credit cards are accepted. The price and currency displayed at checkout will match the amount charged to your card. You must maintain a valid payment method on file at all times. Zapelite will charge your authorized payment method for all outstanding fees on each billing date.
4.3 Failed Payments
If we are unable to process payment using your authorized payment method, we will reattempt after 3 days. If the second attempt fails, we will make a final attempt 3 days later. If all three attempts fail, we may suspend access to your Account and Services.
All credit and debit card details are processed by our third-party payment processor. Zapelite does not store full card numbers, CVV codes, or other sensitive cardholder data on our servers.
5. Refund Policy
You may request a cancellation and refund within 24 hours of purchase. Refunds will be processed through the original payment method used for the transaction. Please allow 10 to 45 business days for the refund to be completed, depending on your card issuer.
After the 24-hour window, subscription fees that have already been billed are non-refundable. Zapelite will only issue refunds beyond this period if Zapelite materially fails to deliver the Services as described in your subscription plan.
6. Acceptable Use
You agree to use the Services only for lawful purposes and in compliance with all applicable laws, regulations, and third-party terms (including Meta's WhatsApp Business Policy and WhatsApp Commerce Policy).
- Use the Services to send unsolicited messages (spam) or messages without proper consent from the recipients.
- Violate any applicable data protection, privacy, or telecommunications laws.
- Use the Services for any activity that is fraudulent, deceptive, or harmful.
- Share, resell, or sublicense access to the Services without Zapelite's written consent.
- Interfere with, disrupt, or place an unreasonable burden on the Services or our infrastructure.
You are solely responsible for ensuring your use of the WhatsApp Business API through Zapelite complies with Meta's WhatsApp Business Policy and Commerce Policy.
7. Your Content and Data
You retain all intellectual property rights over the content, materials, media, and data you upload to or create within the Zapelite platform ("Your Content"). Zapelite does not claim ownership of Your Content.
By using the Services, you grant Zapelite a limited, non-exclusive, worldwide license to host, store, process, and display Your Content solely as necessary to provide, maintain, and improve the Services.
8. Zapelite's Rights
Zapelite reserves the right to modify, suspend, or discontinue any part of the Services at any time. We retain all rights, title, and interest in and to the Zapelite platform.
We retain the non-exclusive right to use the name and logo associated with your Account for the limited purpose of identifying you as a Zapelite customer.
9. Third-Party Services
The Services may integrate with third-party services like Meta's WhatsApp Business API, Google APIs, and CRM platforms. Your use of these services is governed by their respective terms.
10. Confidentiality
Each party agrees to use the other party's Confidential Information solely for performing its obligations under this Agreement and to take reasonable steps to prevent unauthorized disclosure.
11. Cancellation and Termination
You may cancel your Account at any time by contacting support. Zapelite reserves the right to suspend or terminate accounts for breach of terms or fraudulent activity.
12. Limitation of Liability
To the maximum extent permitted by law, Zapelite's total liability shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify Elitestack Technologies LLC against claims arising from your breach of this Agreement or your use of the Services.
14. IP & DMCA
Zapelite respects intellectual property rights. If you believe your copyright is infringed, please contact support@zapelite.com.
15. Governing Law
This Agreement is governed by the laws of the United Arab Emirates. Disputes shall be subject to the exclusive jurisdiction of the courts of the Emirate of Dubai.
16. Third Party Rights
No person or entity who is not a party to this Agreement shall have any right to enforce any term of this Agreement.
17. General Provisions
This Agreement constitutes the entire agreement between you and Zapelite. If any provision is held invalid, the rest remains in force.
18. Privacy
Your use of the Services is also governed by our Privacy Policy. You act as the Data Controller for your end-user data.
